MAJOR TRANSACTIONS OF BUSINESS ENTITIES: THEORETICAL AND LEGAL ANALYSIS AND LAW ENFORCEMENT ISSUES IN THE REPUBLIC OF UZBEKISTAN

This article provides a comprehensive theoretical and legal analysis of major transactions in business entities, highlighting their nature, characteristics, and importance for corporate control mechanisms. It examines key challenges in the law enforcement practice of Uzbekistan, such as inconsistent asset valuation criteria, formal approval procedures, and fragmentation of interconnected transactions. Drawing on a comparative review of foreign jurisdictions, the study suggests legislative improvements aimed at strengthening shareholder protection and enhancing the effectiveness of corporate governance.
